• "User" or "Client" refers to any individual or organisation that accesses this website or engages Northkite's services.
• "We / Us / Our" refers to Northkite, operating from 118 Rama IX Road, Huai Khwang, Bangkok 10310, Thailand.
• "Content" means any written materials, summaries, notes, templates, or outputs produced or shared in connection with a Service.
• "Agreement" means these Terms and Conditions together with any applicable engagement letter or service agreement.

2.Acceptance of Terms

• If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
• Continued use of the website or services constitutes ongoing acceptance of any updated terms.

3.Service Description

Northkite provides operational risk and governance advisory services on a non-regulated, non-financial basis. Our offerings include:

• Operational Risk Sessions – working sessions to identify everyday operational risks and practical safeguards.
• Governance Routine Projects – engagements to establish light internal review routines and aligned documentation practices.
• Operational Governance Advisory – ongoing relationships to support calm, informed oversight of operations.

All services are delivered to organisations in Thailand and internationally. We do not provide regulated financial, legal, medical, or investment advice. Our work addresses operational processes and internal governance matters only.

4.User Responsibilities

As a client or website user, you agree to:

• Provide accurate and complete information when engaging our services.
• Use this website and any delivered content for lawful purposes only.
• Refrain from reverse-engineering, reproducing, or distributing any materials without prior written consent.
• Not attempt to misrepresent your identity or organisation.
• Keep any login credentials or access details confidential, if applicable.

5.Intellectual Property

All content on this website – including text, design, frameworks, and proprietary methodologies – is the intellectual property of Northkite unless otherwise stated.

• You are granted a limited, non-exclusive, non-transferable licence to use deliverables within your organisation for the purposes agreed at engagement.

• Templates and outlines provided remain the property of Northkite; clients receive a usage licence for internal operational purposes.

6.Payment Terms

All fees are quoted and payable in Thai Baht (฿) unless a separate written agreement specifies otherwise.

• Invoices are due within 14 calendar days of issuance unless agreed otherwise in writing.
• Late payments may result in the suspension of ongoing engagements.
• Refund eligibility is considered on a case-by-case basis; please contact us promptly if you have concerns about a service.
• Bank transfer is the primary accepted method; other methods may be arranged by agreement.

7.Disclaimers

Services are provided in good faith based on the information available at the time of engagement. Northkite makes no representations that:

• Any outcome or business result will arise from implementing recommendations.
• Advice constitutes legal, financial, regulatory, or professional services requiring a licence.
• Website content is free from errors or will always be up to date.

Content is provided "as is" for general operational and educational purposes only.

8.Limitation of Liability

To the extent permitted by Thai law, Northkite's total liability in respect of any engagement shall not exceed the fees paid by the client for that specific engagement.

• We are not liable for indirect, consequential, or incidental losses arising from use of our services or website.
• We are not liable for losses arising from circumstances beyond our reasonable control (force majeure).

9.Indemnification

You agree to hold harmless and indemnify Northkite, its staff, and associates from any claims, losses, or expenses arising from your breach of these terms, your misuse of delivered content, or any false information you provided during the engagement process.

10.Termination

Either party may end an engagement by providing written notice. For ongoing advisory relationships, reasonable notice (typically 30 days) is expected unless otherwise specified in the engagement letter.

• Fees for work completed prior to termination remain due.
• Confidentiality and intellectual property obligations survive termination.

11.Dispute Resolution

We prefer to resolve any concerns through direct, good-faith conversation. If a dispute arises:

• If unresolved within 30 days, disputes are subject to Thai law and the jurisdiction of the courts of Bangkok.
• These terms are governed by the laws of the Kingdom of Thailand.

12.General Provisions

• Entire agreement: These terms, together with any engagement letter, constitute the full agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision at any time does not constitute a waiver of future enforcement.
• Assignment: You may not transfer your rights under these terms without written consent. Northkite may assign rights to a successor entity.

13.Changes to Terms

We may update these Terms and Conditions from time to time. When changes are material, we will update the "Last updated" date at the top of this page. Continued use of our services after that date constitutes acceptance of the revised terms. We encourage you to review this page periodically.
